Terms of Service

    These Terms of Service ("Terms") form a binding legal agreement between you and GridPrepped ("we," "us," "our," or "the Service"). Please read them carefully. They include important provisions such as a disclaimer of warranties, a limitation of liability, an indemnification obligation, and a binding arbitration agreement with a class-action waiver.

    1. Acceptance of Terms

    By accessing, registering for, or using GridPrepped (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

    2. Eligibility

    You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By using the Service you represent that you meet this requirement and that all information you provide is accurate.

    3. Description of Service

    GridPrepped provides household and organizational preparedness tools including risk profiles, preparedness guides, readiness scoring, supply tracking, training modules, emergency and business continuity plan generation, drill management, and real-time hazard alerts. The Service aggregates data from public government sources and uses third-party AI providers for certain generative features. All content is provided for informational and educational purposes only.

    4. CRITICAL DISCLAIMER — Not Emergency Services & Not Professional Advice

    THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL EMERGENCY, MEDICAL, LEGAL, ENGINEERING, INSURANCE, FINANCIAL, OR SAFETY ADVICE. Information, plans, scores, alerts, and AI-generated recommendations are general in nature and may not apply to your specific situation. You should consult qualified professionals (emergency managers, physicians, attorneys, licensed engineers, insurance agents, etc.) before making decisions that affect your safety, health, property, or legal rights.

    The Service is not a substitute for official emergency services, warnings, or directives. Always follow instructions from local emergency management, law enforcement, fire services, and first responders. In an emergency, call 911 (or your local emergency number). Do not delay action while consulting the Service.

    You acknowledge that emergencies may occur during which the Service is unavailable, delayed, or inaccurate, and you assume all risk of relying on the Service in any preparedness or emergency context.

    5. Artificial Intelligence Features

    Certain features — including "Plan for Me," AI-assisted business continuity plan drafting, and related tools — generate output using third-party large language models (LLMs). You acknowledge and agree that:

    • AI output is produced algorithmically and may be inaccurate, incomplete, biased, outdated, or otherwise inappropriate for your situation.
    • AI output does not constitute professional advice of any kind and must be independently verified before reliance, particularly for life-safety, medical, legal, or financial decisions.
    • AI features have monthly usage limits based on your subscription tier and are subject to availability of third-party AI providers.
    • You must not use AI features to generate content that is illegal, defamatory, harmful, infringing, deceptive, or that violates third-party rights or our acceptable-use rules.
    • We may log AI usage metadata (feature, timestamp, token counts) for rate-limiting, billing, abuse prevention, and service improvement. See our Privacy Policy for details.
    • We make no warranty that AI output will be accurate, fit for any purpose, free of errors, or available at any given time.

    6. User Accounts & Security

    You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activities that occur under your account; (c) providing and maintaining accurate, complete, and current information; and (d) notifying us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms, are inactive for extended periods, or pose a security or legal risk, with or without notice.

    7. Acceptable Use

    You agree not to:

    • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
    • Reverse engineer, decompile, scrape, or attempt to extract the source code, AI prompts, or proprietary content of the Service, except as expressly permitted by law.
    • Interfere with or disrupt the Service, servers, or networks, including by introducing malware, conducting denial-of-service attacks, or circumventing rate limits.
    • Use automated means (bots, scrapers) to access the Service without our prior written consent.
    • Resell, sublicense, or commercially exploit the Service or its content without authorization.
    • Submit false, misleading, harassing, defamatory, infringing, or otherwise objectionable content, including in community features.
    • Impersonate any person or entity or misrepresent your affiliation.
    • Use the Service to develop a competing product.

    8. Subscriptions, Payments & Refunds

    Some features require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) by our payment processor (Stripe). You authorize us to charge your payment method for all fees, taxes, and applicable charges. Subscriptions auto-renew at the then-current price unless canceled before the renewal date.

    You may cancel at any time from your account; cancellation takes effect at the end of the current billing period and you will retain access until that date. Except where required by law, all payments are non-refundable. We may issue refunds at our sole discretion. We reserve the right to change pricing, plans, and feature availability at any time, with notice for material changes affecting active subscribers.

    If a payment fails, we may suspend access until the issue is resolved. You are responsible for any taxes or fees imposed by your jurisdiction.

    9. User Content & License

    You retain ownership of content you submit (e.g., community posts, plan inputs, supply lists). By submitting content, you grant GridPrepped a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, display, and distribute that content as necessary to operate, improve, and promote the Service. You represent that you have all necessary rights to grant this license and that your content does not violate any third-party rights or law.

    We may, but are not obligated to, monitor, remove, or refuse content that violates these Terms or that we deem objectionable, with or without notice.

    10. Intellectual Property

    All original content, design, code, trademarks, logos, and service marks of GridPrepped are owned by GridPrepped or its licensors and are protected by U.S. and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal organizational use. Government data used within the Service remains in the public domain. You may not reproduce, distribute, modify, or create derivative works from our proprietary content without prior written permission.

    11. Third-Party Services & Data Sources

    The Service relies on third-party data sources (FEMA, NWS, USGS, AirNow, NIFC, NOAA, EIA, EPA, FBI, U.S. State Department, CISA, USGS Volcano, and others) and third-party service providers (hosting, payments, email, AI inference). We do not control these third parties and are not responsible for the accuracy, availability, content, or practices of any third-party data, service, or website. Use of third-party services may be subject to additional terms.

    12. Service Availability & Offline Preparedness

    The Service is provided on an internet-based, "as available" basis and may be unavailable due to outages, maintenance, third-party failures, or circumstances beyond our control. You acknowledge that GridPrepped may be inaccessible during an actual emergency when you need it most. You are responsible for:

    • Maintaining printed or offline copies of your emergency plans, contact lists, and critical information.
    • Having alternative means of receiving emergency alerts (NOAA Weather Radio, broadcast media, local sirens).
    • Not relying solely on GridPrepped for emergency notifications or life-safety decisions.

    13. DISCLAIMER OF WARRANTIES

    THE SERVICE, INCLUDING ALL CONTENT, AI OUTPUT, DATA, ALERTS, PLANS, AND RECOMMENDATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDPREPPED DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND TITLE.

    We do not warrant that the Service will be uninterrupted, error-free, secure, accurate, complete, or that defects will be corrected. We do not warrant that any data, alert, plan, score, or AI output will be accurate, timely, or appropriate for your circumstances. Your use of the Service is at your sole risk.

    14. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GRIDPREPPED, ITS OPERATORS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

    • Personal injury, illness, or death;
    • Property damage or loss;
    • Loss of profits, revenue, data, business, goodwill, or use;
    • Damages arising from reliance on any information, alert, plan, score, recommendation, or AI output;
    • Damages arising from service interruption, delay, failure to deliver an alert or notification, security breach, or unauthorized access;
    • Damages arising from third-party data, content, or services;

    even if GridPrepped has been advised of the possibility of such damages and regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

    OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID TO GRIDPREPPED IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

    Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

    15. Indemnification

    You agree to indemnify, defend, and hold harmless GridPrepped and its operators, affiliates, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) any content you submit; or (e) your reliance on any information, plan, alert, score, or AI output obtained through the Service.

    16. Termination

    You may terminate your account at any time. We may suspend or terminate your access immediately, with or without notice, for any reason including violation of these Terms, suspected fraud or abuse, non-payment, legal requirements, or discontinuation of the Service. Upon termination, your right to access the Service ends; provisions that by their nature should survive (including Sections 4, 5, 9–11, and 13–18) will survive.

    17. Binding Arbitration & Class-Action Waiver

    PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

    (a) Agreement to Arbitrate. You and GridPrepped agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") shall be resolved exclusively by final and binding individual arbitration, rather than in court, except that you may bring claims in small-claims court if your claim qualifies.

    (b) Arbitration Procedure. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in English, by a single arbitrator. The seat of arbitration shall be Denver, Colorado, USA, though you may choose to participate by phone or video. Judgment on the award may be entered in any court of competent jurisdiction.

    (c) Class-Action Waiver. YOU AND GRIDPREPPED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative proceeding.

    (d) Opt-Out. You may opt out of this arbitration agreement by sending written notice to hello@gridprepped.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration.

    (e) Exceptions. Either party may seek injunctive or equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual property rights.

    (f) Severability. If the class-action waiver is found unenforceable as to a particular claim, then that claim shall be severed from the arbitration and brought in court, while all remaining claims proceed in arbitration.

    18. Governing Law & Venue

    These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law principles. Subject to Section 17 (Arbitration), the exclusive venue for any action permitted to be brought in court shall be the state or federal courts located in Denver County, Colorado, and you consent to personal jurisdiction there.

    19. Modifications to the Service & Terms

    We reserve the right to modify, suspend, or discontinue the Service (or any feature) at any time, with or without notice. We may update these Terms at any time; the "Last updated" date reflects the latest revision. We will notify users of material changes via email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

    20. Force Majeure

    GridPrepped shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, power or internet outages, cyberattacks, pandemics, war, terrorism, governmental action, or third-party service failures.

    21. Miscellaneous

    These Terms, together with the Privacy Policy, constitute the entire agreement between you and GridPrepped regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. The headings are for convenience only.
